Services
Servbases provides digital technology services including website design, software development, booking systems, dashboards, payment integrations, messaging tools, automations, hosting setup, maintenance, support, and technical consulting. Specific deliverables, price, timeline, and scope will be listed in a proposal, scope of work, invoice, or written agreement.
Servbases is an independent technology provider only. We build and support digital systems for businesses, but we do not own, operate, manage, supervise, endorse, or control our clients' businesses. Each client is solely responsible for its own business operations, legal compliance, customers, products, services, payments, refunds, disputes, taxes, licenses, permits, and use of the systems we provide.
Client Sole Responsibility
The client has full and exclusive control over its own business and is solely responsible for all business operations, legal compliance, licenses, permits, taxes, advertising, customer service, refunds, disputes, chargebacks, products, services, events, memberships, user activity, content, and use of any website, app, dashboard, automation, payment integration, messaging system, or digital tool provided. This includes payment processor compliance, platform rules and terms, accuracy of all information provided to Servbases, data collected through the client's website or systems, and how the client or the client's customers use systems Servbases builds or maintains. Servbases provides technical and digital services only and does not act as a business operator, merchant of record, employer, legal counsel, financial advisor, tax professional, compliance officer, or medical provider.
Client Content
The client represents that it owns or has permission to use all content provided to us, including logos, images, videos, trademarks, text, customer data, testimonials, music, product descriptions, pricing, policies, and claims. We are not responsible for verifying the legality, accuracy, ownership, permissions, or compliance of client-provided content.
Payments to Servbases
Payments made to Servbases are for Servbases' own technology services only, including website design, software development, setup, hosting support, maintenance, consulting, integrations, and related digital services. We may collect setup fees, project fees, monthly service fees, maintenance fees, consulting fees, and similar charges through our own Stripe account or other payment processor account.
Client Customer Payments and Third-Party Processors
Client customer payments are separate from payments made to Servbases. Unless a separate written agreement expressly states otherwise, payments from a client's customers for the client's products, services, events, memberships, bookings, appointments, deposits, or other business activity must be processed through the client's own payment processor account and paid to the client's own bank account.
We may assist with technical integration of third-party payment processors such as Stripe or similar providers. We do not process client customer payments directly, hold client funds, receive customer payments on behalf of a client, control payouts, approve transactions, decide refunds, manage chargebacks, guarantee processor approval, or act as merchant of record for a client's business. The client is responsible for processor compliance, refunds, chargebacks, taxes, fraud prevention, customer complaints, restricted business rules, and all financial obligations related to its business.
For customer-facing payment flows, checkout pages or receipts may identify the client as the seller, merchant, or business responsible for the transaction. Servbases provides technology services only.
Third-Party Services
Servbases may use, recommend, configure, or integrate third-party services such as hosting providers, domain registrars, payment processors, email providers, analytics tools, AI providers, booking platforms, databases, CRMs, automation tools, or APIs. Servbases is not responsible for third-party outages, price changes, policy changes, suspensions, security incidents, data loss, service limits, discontinued features, account restrictions, or decisions made by third-party providers. Where third-party services are required for a project, the client is responsible for maintaining their own accounts, credentials, and compliance with those providers' terms.
Hosting and Availability
Hosting, deployment, monitoring, technical maintenance, or infrastructure support may be provided directly by Servbases or through third-party providers such as Vercel, Supabase, or similar platforms. Servbases does not guarantee uninterrupted access, 100% uptime, error-free operation, specific loading speeds, or continuous availability. Temporary downtime, service interruptions, data delays, performance issues, or access limitations may occur due to maintenance, third-party outages, DNS issues, security incidents, traffic spikes, platform limits, client misuse, nonpayment, software updates, force majeure events, or other circumstances outside Servbases' reasonable control.
The Client remains responsible for its own business continuity, customer communications, legal obligations, records, and independent copies of important business information. Servbases provides reasonable technical maintenance and monitoring support and is not a business continuity or disaster recovery provider.
Backups and Data
Where backups are included in a service plan, they are provided as a reasonable technical safeguard and not as a guarantee against data loss. Servbases does not guarantee that any backup will be complete, current, error-free, or recoverable in every situation. Clients are solely responsible for keeping independent copies of important content, media, customer data, invoices, files, business records, credentials, and any other critical information. Servbases is not liable for data loss resulting from third-party platform failures, client misuse, accidental deletion, hardware failures, cyberattacks, or circumstances outside Servbases' direct control.
AI Systems
Servbases may build, configure, or connect AI assistants, chatbots, voice agents, automations, or AI-supported workflows. AI-generated outputs may be incomplete, inaccurate, outdated, biased, unexpected, or unsuitable for a particular use. The Client is responsible for reviewing, approving, supervising, correcting, and monitoring all AI-generated content, messages, recommendations, actions, and customer interactions before and after deployment.
Servbases does not guarantee the accuracy, legality, compliance, business outcome, or suitability of AI outputs for any specific purpose. AI systems must not be relied upon as a substitute for professional legal, medical, financial, tax, emergency, or other regulated advice unless separately reviewed and approved by qualified professionals. The Client assumes full responsibility for how AI systems interact with the client's customers, staff, and third parties.
Approvals and Acceptance
Client approval by email, text message, form submission, payment, launch authorization, written confirmation, or continued use of a deliverable constitutes acceptance of the approved deliverable, design, content, feature, integration, deployment, or service. After approval or launch, additional changes, corrections, redesigns, revisions, or feature requests may be treated as new work and may require additional fees and revised timelines.
The Client is responsible for reviewing all deliverables carefully before approving or authorizing launch. Servbases is not responsible for errors, omissions, or issues the client approved or could have identified before approval.
Scope Changes
Any work not expressly included in the accepted proposal, invoice, statement of work, written agreement, or confirmed project scope is considered out-of-scope. Out-of-scope work may require additional fees, revised timelines, or a separate agreement before work begins. Examples of out-of-scope work include additional pages, integrations, design changes, custom features, copywriting, data entry, migrations, troubleshooting caused by third-party tools or client-managed systems, urgent requests, or changes requested after client approval.
Service Suspension
Servbases may suspend, pause, restrict, or terminate hosting, maintenance, support, deployments, integrations, automations, dashboard access, or any other services if: invoices are unpaid or payment fails; the client violates these Terms or any applicable platform rules; the client misuses services; there is suspected fraud, abuse, or security risk; or continued service could expose Servbases, its providers, or third parties to legal, financial, security, or operational risk.
Servbases will make reasonable efforts to provide advance notice of suspension where possible, but is not required to do so in urgent situations. Servbases is not liable for any losses, business interruptions, lost revenue, customer complaints, or other damages caused by suspension resulting from nonpayment, client violation, or misuse.
Acceptable Use
Clients may not use our services for illegal, fraudulent, deceptive, harmful, abusive, spam, phishing, malware, unauthorized access, or restricted activity. We may refuse, suspend, or terminate services if we reasonably believe the client's activity creates legal, financial, reputational, security, or platform-compliance risk.
No Regulated Advice
We do not provide legal, tax, financial, medical, insurance, compliance, real estate, investment, immigration, or other regulated professional advice. Clients must consult qualified professionals for their own obligations.
No Guarantee of Business Results
We may help improve branding, website quality, booking flow, user experience, and operational efficiency. We do not guarantee specific revenue, traffic, rankings, sales, conversion rates, event attendance, payment approval, or business results.
Limitation of Liability
To the maximum extent allowed by law, we are not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages. Unless prohibited by law, total liability is limited to the amount paid for the specific service giving rise to the claim during the previous three months.
Indemnification
The client agrees to defend, indemnify, and hold harmless Servbases, its owner, employees, contractors, representatives, agents, and affiliates from claims, lawsuits, damages, losses, liabilities, fines, penalties, investigations, chargebacks, refunds, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to client business operations, products, services, events, memberships, content, violations of law or platform rules, misuse of technology, data handling outside our direct control, customer disputes, fraud, misrepresentation, negligence, misconduct, or illegal activity by the client or anyone acting on the client's behalf.
